摘要
企业并购重组是伴随经济全球化不断深入而形成的一种必然趋势,也是企业管理所涉及到的一个全新内容。在市场全球化、信息全球化的推动以及高新技术产业迅速发展影响下,企业生产要素的配置正向动态开放式转变。企业以产权为交易对象,通过产权转让实现企业控制权的转移和资源重组。企业并购是企业外部成长的一条重要途径,也是产业结构调整和企业制度创新的动力,在资本市场中正发挥越来越重要的作用。同时,从企业并购的特征和国内外企业并购的实践来看,并购又是一项高风险的资本经营活动,很多的企业因为并购而“一去不复返”,因此,加强企业并购的财务风险管理具有重要的现实意义。
本文研究的目的,在于分析企业并购中财务风险产生的原因,探讨企业并购的财务风险识别和表现形式,从而探讨有针对性的防范措施。
文章建立在国内外研究成果的基础上,通过规范性分析提出相应的策略。全文共分为四章:第一章“导论”,提出本文研究的问题以及研究的内容,即分析并购中财务风险的成因及防范措施,并对国内外目前研究的现状和成果进行分析回顾;第二章“企业并购及企业并购财务风险概述”,对并购的定义、分类进行介绍,并对本文中财务风险做了明确的界定,指出并购财务风险是企业由于并购而涉及的各项财务活动引起的企业的财务状况恶化或财务成果损失的不确定性;第三章“企业并购中影响财务风险的因素分析”,对导致企业并购财务风险的因素进行分析,指出导致并购财务风险的基本因素是信息不对称和不确定性;第四章“企业并购中财务风险的防范”,提出相应的防范措施,并指出加强企业并购后的整合,保证未来平稳的现金流量是防范财务风险的一般途径。

Abstract
The anization and merger of enterprise es a certain trend with the growing of economic globalization. It is also a new concept in enterprise management. Under the influence of market globalization,information globalization,and the development of high technology industry, the allocation of enterprises productive elements transfers to a dynamic open process. The trade object is property right. We achieve the control right cession and anization of recourses by property right cession. This is an important way for enterprise to grow outside, and also the power for re-structure in national industry and innovation of enterprise system. It plays more and more vital part in capital market. Meanwhile, from the feature of merger itself and the practice of merger, mergers are also the capital administration activity with high risk. Many enterprises "disappeared" because of merger. So reinforce the management of financial risk of merger is very important in practice.
The research purpose of this paper is to find out the reasons that give rise to financial risk of merger, to tell us how to recognize the financial risk of merger and also to try to find some ways to solve the problems.
