I 摘要跨国公司全球并购是指跨国公司等国际投资主体通过一定的法律和途径,依照被投资地区法律取得某些现有公司内部全部或部分资产所有权的行为。跨国公司为了加强其在国际市场上的竞争优势和战略地位,推行全球并购战略,从而引起了全球性的并购浪潮。跨国并购作为发展中国家利用外资进行本国生产一种重要方式,有力地促进了当地经济增长、结构转型、规模效应,提高了资源利用率。随着经济全球化和区域经济一体化的深层次发展,以及中国改革开放国策的稳步推进,我国一些公司已经达到需要向海外扩张的规模,他们都相继把目光向海外市场。本文以著名科技公司联想集团的跨国并购案例为切入点,阐述其跨国并购和整合的过程,运用案例分析法,规范分析与实证分析相结合的研究方法,以及定性分析与定量分析相结合的研究方法,找出联想集团在跨国并购过程中的的经验教训。为我国其他企业再次进行跨国并购提供了宝贵的理论依据。关键词:全球并购;趋势分析;国际化战略 II Abstract Multi-National Corporation isa Multi-National Corporation of global mergers and acquisitions and other international investors and through legal channels, some of the existing pany allor part of the ownership of the assets invested region to act in accordance with the -National Corporation in order to strengthen petitive edge in the international market and the strategic position, implementation of global strategy, which caused the global wave of mergers and cross-border mergers and acquisitions of foreign investment in developing countries are an important way for domestic production, effectively promote the local economic growth, structural transformation, scale effect, improving the utilization rate of the in-depth development of economic globalization and regional economic integration, and the policy of China's reform and opening up steadily, panies inour country has reached to the overseas expansion of the size required.
