HOSTING AGREEMENT

STRICTLY PRIVATE AND CONFIDENTIAL
THIS AGREEMENT is made on 2011
BETWEEN:
BADMINTON WORLD FEDERATION a registered society established under the laws of Malaysia and whose principal place of business is at Stadium Badminton Kuala Lumpur, 31/2 Mile, Jalan Cheras, 56000 Kuala Lumpur, Malaysia ("BWF") which expression means and includes all essors and permitted assigns thereof); and

WHEREAS:
BWF is the sole governing body of the sport of badminton and is recognised as such by the International mittee.
As between the Parties, BWF owns and controls the rights in the Event and wishes to stage the Event in the Territory.
The Host has agreed to host the Event in the Territory as set out in this Agreement.
The Guarantor has supported the Host in its bid to host the Event and has agreed to continue to support the Host in the manner appearing in this Agreement.
NOW IT IS HEREBY AGREED as follows:
INTERPRETATION
For the purpose of this Agreement:
the terms and expressions set out in Schedule 1 (Definitions) shall have the meanings ascribed herein;
any reference to a statute or other legislation and/or code of practice shall be construed as a reference to that statute, other legislation and/or code of practice as from time to time re-enacted or amended;
Clause headings in this Agreement are for the convenience of the Parties only and shall not limit, govern or otherwise affect its interpretation in any way;
references in this Agreement to Clauses, sub-Clauses, paragraphs and schedules are references to those contained in this Agreement;
the schedules to this Agreement are an integral part of this Agreement and reference to this Agreement includes reference thereto;
references to a "person" shall be construed to include a firm, partnership, company, corporation, individual and any other legal entity whether incorporated
