独立董事制度历来颇具争议,从引入之初至今仍受到许多学者的抨
击,首当其冲的是独立董事能否独立的问题。对此学界已有颇多论述,
但大多过于松散,对独立性缺乏系统、全面的阐述。而在行政主管部门
颁布的规范性文件中,对独立董事独立性的规定则散见于文件的各个章
节。追根溯源,在于我们对独立董事独立性缺乏系统、全面的认识。为
此,本文拟从国内独立董事不独立的现状出发,以利益、结构与环境三
个视角,对独立董事的独立性进行界定,进而分别从独立董事关联利益、
独立董事独立性的内在结构与外部环境进行深入剖析,发掘我国独立董
事不独立的固疾所在,并以此为基础对独立董事如何保持独立性提出看
法和建议,以资借鉴。

Abstract
The system of Independent directors is such a controversial one that
since the introduction of the system, it has been suffered a few criticisms. The
most controversial of this system is the independence of Independent directors.
Lots of theses focus on this field, without thorough and significant analysis.
And the articles of the independence of Independent directors are stipulated
nearly in all parts of the related laws and regulations. Therefore the author
prepares to take the prescription of interests and structure and environment on
the basis of the current situation of this system. This paper also confirms the
independence, analyses the associated interests of Independent directors, also
the internal structure and external environment of independence. Above all
the author takes several suggestions for reference.

论独立董事的独立性引言
引言
独立董事制度在我国引入已有 6 个年头。截至 2005 年底,全国 1377
家上市公司已配备了 4640 名独立董事,平均每家公司达 3 名以上,我国
上市公司的独立董事制度已基本建立。然而随着国内上市公司丑闻的频
发与独立董事的沉默,“花瓶董事”、”人情董事”、”卡拉 OK 董事”的
质疑之声也此起彼伏。独立董事制度受到了来自社会各方的质疑。在对
独立董事的诟病中,首当其冲的就是独立董事不独立的问题。如果不能
从根源上解决这一问题,将直接影响到独立董事制度嫁接在我国国情的
“土壤”之上,而产生“南橘北枳”的尴尬局面。
反观国内独立董事制度的相关研究1,学者大多倾向于对独立董事制
度的全面研究与论述,而关于独立董事独立性这一根本性问题的阐述却
散落于文章的各个章节,缺乏系统、全面的分析论证,加之独立性界定
标准的多元与独立董事制度务实性的引入初衷(最初是为了公司海外上
市),加大了对独立董事独立性的必要性与可行性论证难度。因此,本文
拟选取若干方面深入分析独立董事不独立的根源所在,并以此为基础,
提出对当代中国独立董事独立性的若
