摘要
本论文研究的是中国汽车工业合资历程及中外双方矛盾冲突。研究方法有现象
分析法、历史文献法和案例研究法。
改革开放初期,为了改变我国汽车工业落后不前的面貌,中国政府开始鼓励以
各种方式引进国外的先进技术、设备以及资金。可以说中国汽车合资是在政府的一
手推动下开始的。多年来,“以市场换技术”的合资确实带来了我国汽车企业整车
制造、管理、营销水平的大幅提升。但由于外商在进行投资时是以自己的利益为出
发点的,因此不可避免地会对我国汽车工业造成若干负面影响。况且合资易、合心
难,经过几年,整合-依旧是中外合资企业面临的主要问题。
本文首先通过(市场结构-市场行为-市场绩效)模型对产业内部结构、
产业行为和绩效方面的分析找出当时产业内部对政府所造成的压力。并找出当时政
府在这些压力下所颁布的政策和政策的初衷,然后分析了这些政策的结果及其与初
衷的差距。接下来本文从外国投资者的战略出发,研究了国外投资者的战略意图和
对中国合资企业的控制方式。而中外双方在不同的初衷和文化背景下产生了一系列
的矛盾和冲突,本文接着从利用社会资本理论对合资企业内部中外双方的矛盾进行
了研究。
最后得出了合资过程中一系列问题的形成,一方面与我国自身的引资制度及其
相关政策有关系,另一方面与跨国公司在华战略有关。以致于在企业内部,外资牢
牢掌握技术,不肯放松,并控制了企业的话语权。同时对我国汽车工业的合资合作
提出了一定的建议。

Abstract
The research of this paper is the course and internal conflict of Chinese auto joint
venture. Research techniques are phenomenon analysis, historical document law and the
case study .
At the initial stage of reforming and opening up to the outside world, To change the
appearance of auto industry, Chinese government began to encourage capital,
equipment as well as technique introducing abroad. It can be said that Chinese auto joint
venture begins under a push of government. For many years, the join venture of " with
market change technology" has brought truckload production, management and sale. But
since foreign trader startes investment with his own benefit, therefore there is some
negative influence . Moreover join heart disaster. Via 20 few years suit ,this es the
major problem that Chinese-foreign joint venture is faced with.
This thesis first studies the auto industrial Structural, Conduct, Performance through
SCP try to find out the pressure for government from industrial inside and
the original intention of policy under these pressures . Then the thesis analyses the gap of
