资本结构与我国上市公司融资行为分析
[摘要] 我国上市公司强烈偏好股权融资,股权结构复杂,导致上市公司治理效率下降,委托代理成本增加,给企业带来许多负面效应。笔者从资本结构角度出发,分析其结构特征和原因所在,就如何完善我国上市公司融资行为及进一步发挥作用提出一些浅显建议。文章首先从资本结构理论着手,详细的介绍了基本的5种理论方式,分别是:净收益理论,净营业收益理论,MM理论,代理理论,等级筹资理论。其次又讨论了资本结构的几种分析方式,之后重点着墨于我国上市公司的融资行为,分别从上市公司内部环境,上市公司外部环境,上市公司融资的特征分析,,上市公司融资行为缺陷原因分析四方面对论点进行剖析,最后对上市公司的融资行为提出了自己的七点意见,完成了对问题的论述。

Capital Structure and Financing Behavior of China's panies Analysis
[Abstract] Company strong preference for equity financing, equity structure plex, because the pany’s governance efficiency, principal-agent cost increase, brings many negative effects. The author from the angle of capital structure, analysis of its structural characteristics and the causes of the problem, how to improve the financing behavior of panies in China and put forward some simple suggestions to further play the role. The article starts from the capital structure theory, introduces the basic theory of 5 kinds, respectively is: the theory profit, net operating e theory, MM theory, agency theory, rating financing theory. Secondly it discusses the capital structure of several analysis methods, after the focus of attention to our country the financing behavior of panies from panies, internal environment, external environment of panies, panies financing, characteristic analysis, the financing behavior of panies Analysis on defects of four aspects of the argument analysis, finally on the financing behavior of panies put forward seven opinions, completed a problem discuss.
