摘要:近年来,随着中国监管层大力培育机构投资者力量,机构投资者的规模稳步扩大,优化。在此背景下,如何让机构投资者有效地参与上市公司治理,成为摆在我们sSBbWw面前的一个现实而紧迫的研究课题。通过对我国机构投资者参与公司治理的现状和机构投资者参与公司治理的制约因素的分析,提出了推动机构投资者积极参与公司治理的措施。

Abstract: In recent years,as China's surveillance management structure make great efforts to cultivate institutional investors,the institutional investors steadily expand their scale,the structure has been continuously this background,how to let institutional investors to participate effectively in the governance of panies,es a realistic and urgent research problem before text through the analysis of China's current development of institutional investors participation in corporate governance and the the restriction factors of institutional investors participation in corporate governance,proposed the methods and measures,in order to make the institutional investor positively participate in corporate governance.

培育和发展机构投资者,是改善中国证券市场投资者结构、规范投资者行为、维护市场稳定发展的基本政策。据统计, 2001年6月,沪指创高2 245点时,;到2006年刷新这一高点时,。证券投资基金、社保基金、QFII等的陆续入市,促成机构投资者A 股账户数增长迅猛。2001年高点时,;而到2006年高点时,基金全年发行份额高达3 。此外,自2003年以来,批准进入A股市场的QFII总数已达50多家,总额度突破90亿美元。可见,机构投资者正在日益成为我国证券市场的主导力量。
