摘要

作为连接业主和外界主体的桥梁,业主大会是区分所有权物业管理制度的核
心,其法律地位的定位直接决定了业主、业主大会、物业服务企业以及其他市场
交易主体之间的法律关系。但在我国现行法律体系下,业主大会的法律地位是不
明确的。由此造成了业主、业主大会、物业服务企业之间法律关系不明确,为不
规范的行为留下了空间。同时,也将影响到业主大会的诉讼地位。
笔者试图通过总结国外类似制度,以归纳可借鉴的规律。通过比较研究,笔
者发现区分所有权人组织法人化的确定性优点,法人化已成为一个世界性的趋
势。然后,笔者论证该规律在我国现行基本法律体系下的适应性和可行性,并提
出概括性的建设性建议。但鉴于立法程序和国家政策的限制,目前在我国赋予也
业主大会以法人人格可能受到限制,故笔者又简单地论述了在不赋予业主大会以
法人人格的情况下,对现有法律进行小的调整,以解决比较急迫的问题。

Abstract

As the bridge between condominium owners and the persons and entities outside,
the owners’ association is of most importance which is the key to decide the status of
the owners, the owners’ association, property pany and other market
entities. However, under the relevant laws and regulations of China in force, the
status of the owners’ association is not clear which leaves plenty of space for the
conducts deviating from standards. And the unclear status of the owners’ association
leads to an unclear position in actions.
With the problems above in mind, the writer collected relevant foreign materials
and had parative research which leaded to the conclusion that the system under
which the owners’ association is of legal person status, with a great advantage of
certainty, will be a globally popular system. Then, the writer put the conclusion in
the legal system of China to reason the feasibility of the owners’ association with
legal status in Chinese law. However, in view of the limitation of legislation
procedure and the policy choice by government, the writer discourse the feasibility of
vernier revision of the relevant laws and regulations in force to solve some urgent
problems.
