摘要
商品检验是随着国际贸易的发展而产生的,是国际贸易活动中不可缺少的
重要环节。商品检验条款是国际贸易合同中的重要组成部分。制订商检条款的
目的就在于检验卖方是否履行了交货义务以及所交货物是否符合合同的约定。
为了确定合同履行情况,避免和减少贸易纠纷以及公正地分清纠纷的责任归属,
需要独立的检验、鉴定机构出具检验证明,其证明也可以作为索赔依据。由于
我国很多企业外贸经验不足,许多企业和从业人员由于忽视了商检重要性和商
检条款订立的不严密等各种原因导致了买卖双方在交接货物时产生纠纷。而当
纠纷一旦成为事实,企业如果不知如何应对,如何将损失降低到最低的水平,
如何合法的保护自己的权益必将遭受重大的损失。
在这个背景下,研究商检纠纷的防范和解决有着十分重要的实践意义。本
文旨在对商检纠纷的种类进行归纳和总结,收集了大量的相关案例,具体分析
了纠纷的成因和争议的焦点,提出了具体的商检纠纷防范措施。同时,与商检
纠纷的特点相结合分析了现有的纠纷解决途径及其发展趋势,在纠纷解决的方
式方面也提出了个人认识,希望对我国企业有效防范和解决商检纠纷起到一定
的借鉴作用。

Abstract
As the development of international trade, modity inspection
formed and developed, which is one of the essential parts in international
activities. The clause modity inspection is an important part of
contract in international trade. The aim of modity
inspection clause is to examine whether the seller has fulfilled the duty of
delivery and whether the goods conform to the contractual stipulations. In
order to determine the state of the contract fulfillment, to avoid or reduce
the disputes as well as to distinguish the responsibility fairly, it is needed
for some independent anizations to provide the inspection
certificate, which can also be regarded as the evidence in claim for
compensation. In china, because many enterprises are not experienced in
international trade neglecting the importance modity inspection
and modity inspection provisions are not watertight, the disputes
arise. And also when the disputes once arise, the enterprises are not
familiar with how to deal with the disputes, how to lower the losses, and
how to protect their own rights which will lead them to suffer the heavy
losses.
