效力待定合同的类型有哪些
摘要:效力待定合同所谓效力待定合同,是指合同虽然已经成立,但因其不完全符合有关生效要件的规定,因此其效力能否发生,尚未确定,一般须经有权人表示成认才能生效。
合同效力待定,是指合同成立以后,因存在缺乏以认定合同无效的瑕疵,致使合同不能产生法律效力,在一段合理的时间内合同效力暂不确定,由有追认权的当事人进行补正或有撤销权的当事人进行撤销,再视具体情况确定合同是否有效。那么合同效力待定的情形有哪些呢?

依据?合同法?,效力待定合同主要包括四种类型:
(一)限制民事行为能力人依法不能独立签订的合同

?民法通那么?规定,限制民事行为能力人包括两种:10周岁以上不满18周岁的未成年人和不能完全识别自己行为的精神病人。限制民事行为能力人可以进行与他的年龄、智力相适应的民事活动;其他民事活动由他的法定代理人代理,或者征得他的法定代理人的同意。所以,限制民事行为能力人签订的其依法不能独立签订的合同效力待定。

?合同法?第47条规定:“限制民事行为能力人订立的合同,经法定代理人追认后,该合同有效,但纯获利益的合同或者与其年龄、智力、精神健康状况相适应而订立的合同,不必经法定代理人追认。
相对人可以催告法定代理人在一个月内予以追认。法定代理人未作表示的,视为拒绝追认。合同被追认之前,善意相对人有撤销的权利。撤销应当以通知的方式作出。〞
(二)无权代理人以被代理人名义订立的合同

?民法通那么?第63条规定:“公民、法人可以通过代理人实施民事法律行为。
代理人在代理权限内,以被代理人的名义实施民事法律行为。被代理人对代理人的代理行为,承当民事责任。〞
根据?合同法?第48条,无权代理包括如下三种:
(1)行为人没有代理权。
(2)行为人超越代理权。
(3)代理权终止后仍以被代理人的名义订立合同。
由于无权代理人不能合法有效代理被代理人,所以其签订的合同效力待定。

(三)越权订立的合同

任何一个单位都有自己的组织结构,组织设计里面都包含组织权限分工。每个岗位都有自己的责任和权力。如果超越了自己的权力范围而为民事行为,其行为就不是必然有效的行为了。这种行为是否有效,需要结合其他因素确定。

?合同法?第50条规定:“法人或者其他组织的法定代表人、,该代表行为有效。〞
可见,超越权限订立的合同是否有效取决于相对人是否知道行为人超越权限。;如果不知道其越权而与之签订合同,那么合同就是有效的。

有处分权人处分自己的财产是有效的行为,但是没有处分权人处分了他人的财产已经侵犯了有处分权人的财产权了,就不能视为当然有效的行为。
