摘要
股权分置是在我国经济体制转轨过程中形成的特殊问题,随着我国资本市场的迅速发展,开始越来越强烈地影响证券市场的稳定和融资功能,使公司治理缺乏共同的利益基础,严重影响了我国证券市场的效率,成为完善资本市场基础制度的重大障碍。在股权分置改革过程中我们必须考虑到影响股权分置改革的一些因素,然后要构建一个稳定的市场环境,使我国证券市场充分发挥投资与融资的作用。
本文从我国社会主义市场经济体制出发,研究我国上市公司股权分置改革的意义及必然性,探讨影响改革的众多因素,然后去考察改革中各种不同的操作方法,结合个别实证分析各种方案的优缺点,最后对股权分置改革的后续发展做一定的探究。

Abstract
Buy shares in China's economic system transformation developed in the course of the special issue, as China's capital market is developing rapidly, an increasing strongly influence the stability of the securities market and the expected price discovery function of the lack of corporate governance based mon interests, serious impact on the efficiency of China's securities market, improve the capital market infrastructure as a major obstacle to the system.
