论股东代表诉讼制度


摘要


股东代表诉讼制度是英美法系国家创设出的,在公司及其中小股东权益受到
侵害时,由股东代替公司提起诉讼的一种特殊的救济制度。这种诉讼制度不同于
普通的公司直接提起诉讼的制度,在英美法系国家发挥着相当大的作用和功效。
被称为保护股东权益的“最后一道防线”。然而,长期以来我国的法律体系中未
能设置这种诉讼制度。近年来,随着我国经济的不断发展,公司治理结构中的问
题逐渐凸现。法学界已经将股东代表诉讼制度作为研究的对象,公司法学者对此
制度作了不遗余力的研究,对此制度的引进以及在我国公司法律体系中运用也做
了大量工作。同时,司法实践的发展也推动了我国股东代表诉讼制度在没有法律
依据下的“实践先行”。并最终促成了新公司法对此制度的规定。
本文在对股东代表诉讼制度历史演进的研究基础上,指出了我国代表诉讼制
度在现实中的尴尬处境,对 93 年《公司法》的立法思路做出了反思(第一章);
接着从实体法和程序法两个角度论述了股东代表诉讼制度的合理性基础,并对股
东代表诉讼的制度价值作了探讨(第二章);进而做出了股东代表诉讼的制度设
计(第三章);最后针对我国新《公司法》的规定,对如何完善我国的股东代表
诉讼制度作了探讨(第四章)。
本文的主要创新之处在于对股东代表诉讼的合理性基础和制度价值以新的
角度进行了阐述。另外,对在我国如何有效实施和完善股东代表诉讼制度以多视
角进行了探讨。

ABSTRACT

The shareholder derivative suits , founded by the countries of mon law, is a
special system designed for the minority stockholders to sue instead of pany
when pany was infringed. This kind of action is not same as the general
actions that sued directly by the stockholders, but it operates effectually in the
countries of mon law. But we haven’t set up such action in Chinese legal
system. In recent years, with the development of our economy, the problems in the
operation of panies e more and more obvious. Some of the scholars
began to work over the derivative action as a subject,The scholar of pany law
to the research that this system made to spare no effort, also did a great deal of work
in the our pany law system to usher in of this system and the
meantime, the development of the judicial fulfillment also pushed the our country
