摘要


目前,我国正积极推进国有商业银行的股份制改革,股改的核
心是要把国有独资银行办成真正的商业银行。而加快深化内部改
革,建立良好公司治理结构,转换经营机制,是这次国有商业银行
股份制改造的关键。国务院要求在改革过程中,试点银行必须建立
规范的股东大会、董事会、监事会制度,引进国内外战略投资者,
实现投资主体多元化。总之,公司治理结构是现代银行制度的核心,
国有商业银行的改革、改制和上市必须围绕建立良好的公司治理结
构,以塑造国有商业银行的竞争能力、盈利能力和抵御风险能力为
根本。因此,探索如何构建和完善我国国有商业银行的公司治理结
构,具有重要的现实意义。商业银行是经营货币的特殊企业,其治
理结构的改革和完善既要遵循企业理论的一般原理,还必须结合商
业银行的特点来进行,特别是由于各国的国情不同,在一些国家适
用的公司治理理论在其他国家未必适用。本论文对国有商业银行公
司治理结构模式的研究,在借鉴国内外众多文献的基础上,运用了
新制度经济学的有关理论,结合我国国有商业银行的现实状况和特
点,形成了对国有商业银行治理结构理论的一些新的见解,具有一
定的理论意义。本论文共分四章,第一章对公司治理结构的内涵和
理论依据进行了阐述;第二章通过考察商业银行区别于一般企业的
特殊性,在公司治理结构一般架构的基础上,得出商业银行治理结
构的一般架构。然后通过对国际国内几个案例的比较分析,借鉴他
们的它们的成功经验,为国有商业银行治理结构的改革提供有益的
启示,最后给出治理结构影响银行绩效的实证;第三章考察了国有
商业银行治理结构的历史和现状,对国有商银行治理结构存在的问
题进行了剖析;第四章是对股份制改造后的国有商业银行治理结构
Abstract

At present, our country is actively advancing the reform of
shareholding system of the solely state-mercial bank, in
order to set up modern banking system. Corporate governance is the
core of the modern banking system, so, exploring how to structure and
perfect the corporate governance of the state-mercial bank of
our country, have important realistic meanings. mercial bank is
special enterprise that manages the currency, its corporate governance
must be different from that of general enterprise. This thesis of study
on corporate governance mode of state-mercial bank that is on
the basis of drawing lessons from domestic and international numerous
documents, have used the relevant theories of new system economics,
combining the realistic state and characteristic of the state-run
commercial bank of our country, has formed some new opinions on the
corporate governance theory of state-mercial bank, have
certain theory meanings. This thesis divides into four chapters
